Terms and Conditions for Broker Price Opinion Orders

Licensed real estate agents and real estate brokers are referred to as “Vendors”.<br> As a material condition for receiving requests for broker price opinions (BPO&#39;s) and or other data, Vendor acknowledges and consents to the following. &nbsp;<br> Vendor Acknowledges and consents that by agreeing to the terms and conditions within this document, you are consenting to these terms and conditions on all orders received USRES.<br> Relationship of Vendor to USRES acknowledges that Vendor is acting solely as an independent contractor and not in any manner as an agent or employee of USRES. Vendor shall not directly or indirectly communicate to any person or party that he or she is acting otherwise.<br> Insurance: Vendor warrants that he or she is currently insured for professional errors and omissions (“E &amp;O”) insurance covering the activities and services to be carried out for USRES and that said coverage is in accordance with any applicable laws and regulations. Vendor understands and agrees that USRES will rely on this warranty.<br> Vendors shall only be required to provide evidence of E &amp; O insurance coverage if specifically requested to do so in the instructions submitted with a letter engaging the Vendor for a particular report. In such instances, the Vendor shall comply by attaching a copy of the declarations page of a current E &amp; O policy to the completed report file delivered to USRES.<br> All Vendors further agree that USRES may, in its sole discretion, require the Vendor to provide evidence of relevant liability coverage for a vehicle used in the course of providing a report to USRES.<br> Status of Licensed Vendor: Vendor warrants that, he or she (as well as any person providing assistance requiring licensing) is a real estate agent and/or real estate broker and/or real estate professional duly licensed by the applicable state licensing agency (such as the Department of Real Estate in the state of operation), and that the license is current and in good standing. Vendor shall furnish a current copy of their License if requested.<br> Indemnification: Vendor agrees to indemnify and hold USRES harmless from any claims, costs, losses, damages, judgments and expenses, including but not limited reasonable attorney’s fees and expenses, relating to or arising out of any breach of this Agreement and from any and all claims for injury or loss to any person or damage to any property arising from or caused by (whether is whole or in part, directly or indirectly) Vendor’s actions or omissions while conducting any part of the solicitation fulfillment process, to the fullest extent permitted by law.<br> Confidentiality of Product Reports: Vendor recognizes and agrees that the report or opinion transmitted to USRES, as well as any information provided by USRES to Vendor is USRES’ property, and Vendor will not share, transmit, or provide access to the report, opinion or information (or use the report, opinion or information for any unauthorized purpose) without first obtaining the express written consent of USRES. Vendor further acknowledges that he or she may receive nonpublic personal information about consumers in the course of providing a report or opinion, and Vendor agrees that such information is private, confidential and not to be shared with or accessed by anyone other than a bona fide representative of USRES unless otherwise specifically agreed to in writing by USRES.<br> Vendor Code of Conduct: While fulfilling report solicitations on behalf of USRES, Vendor agrees to conduct himself of herself in a sage, courteous and professional manner and to follow all applicable laws relating to trespassing, privacy and fair housing. <br> USRES may choose, with or without notice, to cease soliciting the services of registered Vendors for any reason.<br> By accepting this order you have read and agree on the terms &amp; conditions that any valuation products that are submitted after the client due date, may be cancelled without notice. No fees (including trip fees) will be paid on incomplete cancelled orders after the client due date. If an order is cancelled by you no fee will be paid and/or no credit will be given for this assignment. If you outsource the valuation assignment to any individual you will not be paid, unless approved by the client beforehand. Any non-approved vendor completing an appraisal will not be allowed to submit the final product without prior approval from USRES.<br> <br> <br> CLICKING “YES” BELOW INDICATES THE ABOVE CONDITIONS HAVE BEEN READ AND ACCEPTED BY VENDOR
